Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and TERROR LLC ("LiquidTCG", "we", "us", or "our") governing your access to and use of the LiquidTCG buylist platform at liquidtcg.co (the "Service").

By creating an account, submitting a buylist order, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business.

1. The Service

LiquidTCG provides software that lets trading-card stores ("Stores") operate a buylist — accepting, pricing, and responding to offers of cards from individuals ("Sellers"). LiquidTCG is a software provider. We are not a party to any transaction between a Store and a Seller, we do not buy or sell cards, and we do not handle payouts between Stores and Sellers.

2. Accounts

You must provide accurate information, keep your credentials secure, and are responsible for all activity under your account. You must be at least 18 years old to create a Store account. Notify us promptly of any unauthorized use.

3. Subscriptions and billing

Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. By subscribing, you authorize us to charge the applicable fees to your payment method until you cancel. Fees are stated on our pricing page and may change with notice. Cancellations, plan changes, and refunds are governed by our Refund & Cancellation Policy.

4. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy. We may suspend or terminate access for violations.

5. Stores, Sellers, and submissions

Stores are solely responsible for their own buylist operations, including pricing, communications with Sellers, payouts, tax collection and remittance, and compliance with all laws applicable to their business. Sellers are responsible for the accuracy of the information and the ownership of the items they submit. LiquidTCG is not responsible for the conduct of any Store or Seller or for the outcome of any transaction.

6. Customer data

Each Store is the controller of the personal information its Sellers submit, and LiquidTCG processes that information on the Store's behalf as described in our Privacy Policy. Business customers may also refer to our Data Processing Addendum.

7. Intellectual property

The Service, including its software, design, and content (excluding Store and Seller data), is owned by LiquidTCG and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You retain ownership of data you submit and grant us a license to host and process it to provide the Service.

8. Third-party services

The Service integrates with third-party services (for example, payment, email, and hosting providers). Your use of those services may be subject to their own terms, and we are not responsible for them.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERROR LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100.

11. Indemnification

You agree to indemnify and hold harmless TERROR LLC from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your data, or your violation of these Terms or applicable law.

12. Term and termination

These Terms apply while you use the Service. You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access if you breach these Terms or to comply with law. Provisions that by their nature should survive termination will survive.

13. Governing law

These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state and federal courts located in Illinois, to the extent permitted by law.

14. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date above and, for material changes, provide additional notice where required. Continued use of the Service after changes take effect constitutes acceptance.
